XIT Matters LLC (“XIT Matters,” “we,” “us,” or “our”) operates the website exitmatters.io (the “Site”), the official companion website for the book Exit Matters: Strategic & Tactical Decisions That Multiply What Your Business Is Worth by James Waters.

These Terms of Service (“Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. The Site and Its Purpose

exitmatters.io is a free educational resource site designed to support readers of Exit Matters. It provides:

  • Book excerpts, blog posts, and related content
  • Free downloadable resources and worksheets
  • Newsletter sign-ups and updates about the book and living-valuation concepts
  • Information about the separate valuation platform at xitmatters.io

The Site does not provide business valuations, financial advice, or access to the XIT Matters valuation tools. All valuation-related features are available only on the separate platform at xitmatters.io.

2. User Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Accounts and Communications

  • Newsletter & Marketing: When you provide your email address, you consent to receive marketing and promotional communications from XIT Matters, including newsletters, book updates, blog posts, and information about both exitmatters.io and xitmatters.io.
  • Opt-Out: You may unsubscribe from marketing emails at any time by clicking the “unsubscribe” link in any email or by contacting us at privacy@exitmatters.io.
  • Account Security: If you create an account or use any interactive features, you are responsible for maintaining the confidentiality of your login information.

4. Intellectual Property

All content on the Site—including text, graphics, logos, book excerpts, worksheets, and blog posts—is owned by XIT Matters LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may:

  • View and read the content for personal, non-commercial use
  • Download free resources for your own business use

You may not:

  • Copy, modify, distribute, or commercially exploit any content without our prior written permission
  • Remove any copyright or trademark notices

To the fullest extent permitted by law, XIT Matters LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of these Terms or your use of the Site shall not exceed $100.

8. Indemnification

You agree to indemnify and hold harmless XIT Matters LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your violation of these Terms or your use of the Site.

9. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Florida.

10. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on the Site and update the “Last Updated” date. Your continued use of the Site after any changes constitutes acceptance of the new Terms.
